Welcome to Owode Commerce (“Owode“, “we“, “our“, or “us“), a digital commerce platform operated by Owode Commerce Ltd.
These Terms of Service (“Terms“) govern your access to and use of the Owode platform, including our website, applications, marketplace, storefronts, software, tools, features, communications, and any related services (collectively, the “Platform“).
By creating an account, accessing, browsing, or using the Platform, you agree to be bound by these Terms and all applicable policies incorporated by reference.
If you do not agree to these Terms, you should not access or use the Platform.
1. About Owode
Owode Commerce is a technology company that builds digital commerce infrastructure designed to help individuals, businesses, brands, creators, and entrepreneurs sell products online.
The Platform enables independent sellers to create storefronts, list physical and digital products, manage orders, receive payments (where applicable), communicate with buyers, and access tools designed to support business growth.
Owode continually develops new features and services. As the Platform evolves, additional tools, products, programmes, integrations, or marketplace features may become available and may be subject to additional terms or policies.
Unless expressly stated otherwise, Owode operates as a marketplace and commerce infrastructure provider. Independent sellers—not Owode—are responsible for the products they list, market, and sell through the Platform.
2. Acceptance of These Terms
These Terms constitute a legally binding agreement between you and Owode Commerce Ltd.
By accessing or using the Platform, you confirm that you:
- have read and understood these Terms;
- agree to comply with these Terms;
- agree to comply with all applicable Platform policies;
- have the legal capacity to enter into this agreement; and
- will use the Platform only in accordance with applicable laws.
If you use the Platform on behalf of a business, organisation, partnership, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.
In such cases, references to “you” include both the individual using the Platform and the organisation they represent.
3. Eligibility
To use the Platform, you must satisfy the eligibility requirements applicable to your use of the Platform.
Unless otherwise permitted by applicable law or expressly authorised by Owode:
- you must be at least eighteen (18) years old, or the age of legal majority in your jurisdiction;
- you must have the legal capacity to enter into binding agreements;
- you must not be prohibited by applicable law from using the Platform;
- you must not have previously been suspended or permanently removed from the Platform in circumstances where your access has not been restored.
Where local laws permit minors to use certain Platform features under the supervision or consent of a parent, guardian, or educational institution, additional requirements may apply.
Owode reserves the right to refuse access, suspend accounts, or require additional verification where eligibility requirements are not met.
4. User Accounts
Certain features of the Platform require users to create an account.
When creating and maintaining an account, you agree to:
- provide accurate, current, and complete information;
- keep your information updated;
- maintain the security of your login credentials;
- promptly notify Owode of any suspected unauthorised access or security incident affecting your account;
- accept responsibility for activities conducted through your account unless prohibited by applicable law.
You are responsible for safeguarding your password and other authentication credentials.
Owode will not be responsible for losses resulting from your failure to protect your account credentials or from unauthorised access arising from your negligence.
We may require identity verification, email verification, phone verification, business verification, or other verification processes before granting access to certain Platform features.
Verification requirements may change over time based on legal, regulatory, security, or operational considerations.
You may not:
- create accounts using false or misleading information;
- impersonate another individual or organisation;
- create accounts on behalf of another person without lawful authority;
- create multiple accounts to evade Platform restrictions or enforcement actions;
- transfer or sell your account without Owode’s prior written consent.
Owode reserves the right to suspend, restrict, or terminate accounts that violate these Terms or applicable Platform policies.
5. Marketplace Role
Owode provides technology infrastructure that enables buyers and sellers to connect and conduct commerce through the Platform.
Our services may include, among other things:
- online storefront creation;
- product listing tools;
- marketplace discovery;
- search functionality;
- order management;
- payment facilitation (where applicable);
- seller dashboards;
- buyer accounts;
- communication tools;
- promotional features;
- analytics and reporting tools;
- delivery coordination features;
- digital product distribution;
- future commerce technologies introduced by Owode.
Unless expressly stated otherwise, Owode is not:
- the seller of products listed by independent sellers;
- the manufacturer of listed products;
- the importer or exporter of listed products;
- the distributor of listed products;
- the owner of products listed by independent sellers;
- a party to every transaction conducted through the Platform;
- responsible for producing, inspecting, or certifying third-party products.
Transactions conducted through the Platform are generally entered into between buyers and independent sellers.
Accordingly, sellers remain solely responsible for matters relating to their businesses, including:
- the products they list;
- pricing decisions;
- inventory;
- product quality;
- product safety;
- product legality;
- intellectual property compliance;
- order fulfilment;
- delivery obligations;
- customer support;
- applicable taxes;
- compliance with laws governing their business activities.
While Owode may provide tools to facilitate transactions, communications, payments, dispute assistance, and marketplace operations, these services do not make Owode the merchant, reseller, manufacturer, or owner of products offered by independent sellers unless expressly stated.
Nothing in these Terms creates an employment relationship, agency relationship, joint venture, partnership, franchise, or fiduciary relationship between Owode and any user solely by virtue of using the Platform.
6. Platform Policies
To help ensure a safe, reliable, and trusted marketplace, Owode maintains additional policies that govern specific aspects of the Platform.
Your use of the Platform is subject not only to these Terms of Service but also to any applicable policies published by Owode from time to time.
Where applicable, these policies form part of these Terms and are incorporated by reference.
Depending on how you use the Platform, you may also be subject to one or more of the following:

Additional Policies
Owode may introduce additional policies where necessary to govern new Platform features, products, services, APIs, integrations, payment systems, logistics services, AI-powered tools, promotional programmes, cross-border commerce, or other marketplace initiatives.
Where these policies apply to your use of the Platform, they form part of your agreement with Owode.
In the event of any inconsistency between these Terms and another Platform policy, the more specific policy will generally govern the relevant subject matter unless expressly stated otherwise.
7. User Responsibilities
All users are expected to use the Platform responsibly, lawfully, and in good faith.
You agree that you will:
- comply with these Terms and all applicable Platform policies;
- comply with applicable laws and regulations;
- provide accurate information where requested;
- respect the rights of other users;
- act honestly in your dealings on the Platform;
- maintain the security of your account;
- cooperate with reasonable verification requests;
- use the Platform only for lawful purposes.
You remain responsible for your own activities and for any content you submit through your account.
8. Acceptable Use
You must not use the Platform in any manner that:
- violates applicable laws;
- infringes another person’s rights;
- interferes with Platform operations;
- threatens Platform security;
- harms other users;
- facilitates fraud or deceptive conduct.
Detailed rules regarding acceptable behaviour, prohibited conduct, enforcement actions, and misuse of the Platform are contained in the Acceptable Use Policy, which forms part of these Terms.
9. Prohibited Products
Products listed on the Platform must comply with Owode’s Prohibited Items Policy and all applicable laws.
Owode reserves the right to remove, restrict, or reject listings that violate Platform policies or create unacceptable legal, operational, or reputational risks.
Nothing in these Terms requires Owode to permit the listing of any particular product.
10. User Content
Certain Platform features allow users to submit or publish content.
This may include:
- product listings;
- storefront information;
- reviews;
- ratings;
- comments;
- photographs;
- videos;
- messages;
- documents;
- profile information;
- other materials.
Users remain responsible for the content they submit.
Content must be accurate, lawful, and must not violate the rights of others.
Owode may remove or restrict content that violates these Terms or applicable Platform policies.
Additional rules relating to seller-generated content are contained in the Seller Terms.
11. Electronic Communications
By creating an account or using the Platform, you consent to receive electronic communications from Owode.
These communications may be delivered through:
- email;
- Platform notifications;
- your account dashboard;
- SMS;
- WhatsApp, where applicable;
- push notifications;
- or other electronic communication channels associated with your account.
Electronic communications may include:
- account notifications;
- verification requests;
- security alerts;
- transaction updates;
- policy updates;
- legal notices;
- support communications;
- product announcements;
- operational updates.
Where your consent is required by applicable law for certain marketing communications, Owode will seek that consent separately.
You may manage certain communication preferences through your account settings where available.
Nothing in this section limits Owode’s ability to send communications that are necessary to operate the Platform, fulfil legal obligations, or protect user accounts.
12. Intellectual Property
The Platform and its underlying technology contain intellectual property owned by Owode or licensed to Owode.
This includes, without limitation:
- software;
- source code;
- databases;
- platform design;
- user interfaces;
- graphics;
- trademarks;
- logos;
- branding;
- documentation;
- text;
- marketplace technology;
- proprietary systems;
- and other Platform content.
Unless expressly permitted by law or authorised by Owode in writing, you may not:
- copy;
- reproduce;
- modify;
- distribute;
- reverse engineer;
- decompile;
- create derivative works from;
- commercially exploit;
- or otherwise use Owode’s intellectual property beyond the ordinary use of the Platform.
Nothing in these Terms transfers ownership of Owode’s intellectual property to users.
13. User Intellectual Property
Users retain ownership of the intellectual property rights they hold in the content they submit to the Platform.
However, by submitting content to the Platform, users grant Owode a non-exclusive, worldwide, royalty-free licence to host, store, display, reproduce, distribute, and use such content as reasonably necessary to operate, improve, secure, promote, and provide the Platform.
This licence includes activities such as:
- displaying listings;
- operating storefronts;
- generating previews;
- indexing content for search;
- promoting marketplace listings;
- supporting analytics;
- improving Platform functionality.
Where additional terms apply to specific types of content, those terms will prevail.
14. Payments
Owode may facilitate payments between buyers and sellers using payment providers selected or approved by the Platform.
Payment processing may be subject to:
- verification procedures;
- fraud prevention measures;
- payment provider requirements;
- banking regulations;
- applicable laws.
Operational matters relating to:
- marketplace fees;
- subscriptions;
- commissions;
- payout schedules;
- payment holds;
- settlement periods;
- refunds;
- withdrawals;
are governed by the applicable marketplace policies, Seller Terms, Buyer Terms, or information published through the Platform.
Owode reserves the right to introduce, modify, or discontinue payment methods or payment providers as the Platform evolves.
15. Third-Party Services
The Platform may integrate with or depend upon services provided by third parties.
These services may include:
- payment processors;
- logistics providers;
- cloud hosting providers;
- identity verification providers;
- communication platforms;
- analytics services;
- mapping services;
- artificial intelligence technologies;
- customer support tools;
- marketing services;
- authentication providers;
- or other technology partners.
Your use of certain third-party services may also be subject to the terms and privacy policies of those providers.
Owode does not control third-party services and is not responsible for their independent acts, omissions, availability, or performance.
Where reasonably necessary, Owode may share limited information with third-party service providers for purposes including:
- processing payments;
- verifying identities;
- preventing fraud;
- facilitating deliveries;
- hosting Platform infrastructure;
- providing customer support;
- complying with legal obligations;
- improving Platform functionality.
Such processing will be carried out in accordance with applicable laws and Owode’s Privacy Policy.
16. Future Platform Features
Owode continuously develops new products, technologies, and marketplace features.
These may include:
- enhanced storefront capabilities;
- integrated logistics solutions;
- fulfilment services;
- seller growth tools;
- loyalty programmes;
- referral programmes;
- advertising services;
- APIs;
- AI-powered features;
- cross-border commerce tools;
- business verification services;
- financing or payment solutions;
- and other commerce infrastructure.
The introduction of new features may be subject to additional terms, eligibility requirements, or operational policies.
Where applicable, those additional terms will form part of your agreement with Owode.
17. Platform Availability
Owode is committed to providing a reliable and secure Platform. However, the Platform is provided on an “as available” and “as accessible” basis.
While we strive to minimise interruptions, we do not guarantee that the Platform will always be available, uninterrupted, error-free, secure, or free from delays.
From time to time, access to some or all parts of the Platform may be limited due to:
- scheduled maintenance;
- software updates;
- security enhancements;
- system upgrades;
- technical failures;
- internet connectivity issues;
- failures of third-party services;
- regulatory requirements;
- force majeure events;
- or other circumstances beyond our reasonable control.
Owode may suspend or limit access to parts of the Platform where reasonably necessary to:
- maintain security;
- protect users;
- investigate suspicious activity;
- improve Platform performance;
- comply with legal obligations;
- implement new features;
- prevent misuse of the Platform.
We will generally make reasonable efforts to restore normal service as soon as reasonably practicable.
18. Platform Changes
Owode continually develops and improves its products and services.
Accordingly, we may:
- introduce new features;
- modify existing functionality;
- discontinue certain services;
- redesign user interfaces;
- improve Platform performance;
- change technical requirements;
- introduce additional verification procedures;
- modify operational processes.
We may also discontinue specific products, programmes, or services where necessary for business, legal, security, or operational reasons.
Where reasonably practicable, material changes affecting users will be communicated through appropriate channels.
19. Privacy and Personal Information
Owode values the privacy of its users and is committed to handling personal information responsibly.
Our collection, use, storage, disclosure, and protection of personal information are governed by our Privacy Policy, which forms part of these Terms.
By using the Platform, you acknowledge that Owode may process personal information in accordance with the Privacy Policy and applicable data protection laws.
Where required by law, we will obtain your consent before processing personal information for specific purposes.
Users are responsible for ensuring that information they provide is accurate and up to date.
20. Cookies and Similar Technologies
Owode uses cookies and similar technologies to operate, improve, secure, personalise, and analyse the Platform.
Our use of cookies is governed by the Cookie Policy, which explains:
- the types of cookies we use;
- why we use them;
- how you can manage your preferences;
- your choices regarding cookies.
By continuing to use the Platform, you acknowledge that cookies may be used in accordance with applicable laws and our Cookie Policy.
Where required by law, we will obtain appropriate consent before using non-essential cookies.
21. Security
Owode implements reasonable technical, organisational, and administrative measures designed to help protect the Platform and personal information.
However, no internet-based system can be guaranteed to be completely secure.
Users are responsible for:
- protecting their account credentials;
- using secure devices;
- maintaining appropriate security practices;
- promptly reporting suspected unauthorised access or security incidents affecting their accounts.
Where we become aware of a security incident affecting the Platform, we will respond in accordance with applicable laws and our internal security procedures.
22. Suspension of Access
Owode may suspend, restrict, or temporarily limit access to the Platform or any part of the Platform where we reasonably believe such action is necessary to:
- protect users;
- protect the Platform;
- investigate suspected violations;
- prevent fraud;
- respond to security threats;
- comply with applicable laws;
- comply with regulatory requests;
- enforce these Terms;
- enforce Platform policies.
Suspension may affect:
- individual accounts;
- seller accounts;
- buyer accounts;
- listings;
- storefronts;
- Platform features;
- payment functionality;
- communications;
- or other services.
Temporary suspension does not necessarily indicate wrongdoing and may remain in effect while investigations are ongoing.
23. Verification Requests
To protect the integrity of the Platform, Owode may require users to complete verification processes before granting or restoring access to certain Platform features.
Verification may include:
- identity verification;
- business verification;
- contact verification;
- payment verification;
- documentation requests;
- ownership verification;
- or other reasonable verification measures.
Failure to complete requested verification within a reasonable period may result in restrictions or suspension.
24. Termination
Users may stop using the Platform at any time.
Owode may terminate or permanently restrict access to the Platform where we reasonably determine that a user:
- materially breaches these Terms;
- repeatedly violates Platform policies;
- engages in fraudulent or unlawful conduct;
- infringes intellectual property rights;
- creates unacceptable risks to the Platform or its users;
- repeatedly abuses Platform services;
- fails required verification;
- or otherwise acts in a manner inconsistent with these Terms.
Where reasonably appropriate, Owode may provide notice before termination.
However, immediate termination may occur where reasonably necessary to:
- protect users;
- protect the Platform;
- comply with applicable law;
- prevent fraud;
- address serious security concerns.
25. Effect of Termination
Upon termination or permanent restriction of access:
- access to Platform services may end immediately;
- accounts may be disabled;
- storefronts may be removed from public view;
- listings may be unpublished;
- Platform features may become unavailable;
- certain information may continue to be retained where required by law or the Privacy Policy.
Termination does not relieve users of obligations that arose before termination.
Provisions relating to intellectual property, limitation of liability, indemnity, dispute resolution, privacy obligations, and other provisions that by their nature should survive termination will continue to apply.
26. Marketplace Disclaimer
Owode provides digital commerce infrastructure that enables buyers and sellers to interact and transact.
Unless expressly stated otherwise, Owode does not:
- own products listed by independent sellers;
- manufacture products;
- import or export products;
- inspect every product;
- certify product quality;
- act as the merchant of record for every transaction;
- guarantee seller performance.
Independent sellers remain solely responsible for:
- their businesses;
- their products;
- product quality;
- product safety;
- pricing;
- inventory;
- fulfilment;
- delivery;
- compliance with laws;
- customer support.
Buyers and sellers enter into transactions primarily with one another, not with Owode, except where Owode expressly states otherwise.
27. No Warranty
To the fullest extent permitted by applicable law, the Platform is provided on an “as is” and “as available” basis.
Owode makes no express or implied warranties regarding:
- uninterrupted Platform availability;
- error-free operation;
- compatibility with every device;
- continuous access;
- marketplace performance;
- product quality;
- seller reliability;
- buyer conduct;
- transaction outcomes;
- business success;
- profitability;
- or fitness for any particular purpose.
Nothing in these Terms excludes warranties that cannot lawfully be excluded under applicable law.
28. No Guarantee of Sales or Business Growth
Owode provides tools designed to help facilitate commerce.
However, we do not guarantee:
- product visibility;
- customer traffic;
- search rankings;
- buyer engagement;
- sales volume;
- revenue;
- profits;
- business growth;
- marketplace success.
Commercial success depends on many factors outside Owode’s reasonable control, including product quality, pricing, competition, marketing efforts, customer demand, seller performance, and market conditions.
29. Information Disclaimer
Information made available through the Platform, including educational materials, help articles, guides, recommendations, analytics, AI-assisted features, or other resources, is provided for general informational purposes only.
Such information does not constitute legal, financial, tax, accounting, investment, medical, or professional advice.
Users should seek appropriate professional advice before making decisions based on such information.
30. Third-Party Content Disclaimer
The Platform may contain content, products, services, advertisements, links, integrations, or information provided by third parties.
Owode does not endorse or guarantee the accuracy, quality, legality, safety, or reliability of third-party content unless expressly stated.
Users access third-party resources at their own discretion and subject to the terms of the relevant third party.
31. Force Majeure
Owode shall not be responsible for delays, interruptions, or failures in performance resulting from events beyond our reasonable control.
Such events may include:
- natural disasters;
- floods;
- fires;
- epidemics or pandemics;
- war;
- terrorism;
- civil unrest;
- labour disputes;
- governmental actions;
- internet failures;
- power outages;
- cyberattacks;
- failures of telecommunications networks;
- failures of third-party infrastructure;
- or other force majeure events.
Where reasonably practicable, Owode will make reasonable efforts to minimise the effects of such events and restore services.
32. Limitation of Liability
To the fullest extent permitted by applicable law, Owode Commerce Ltd, its affiliates, directors, officers, employees, contractors, representatives, licensors, partners, and agents shall not be liable for any loss, damage, expense, or claim arising out of or relating to your access to or use of the Platform.
Without limiting the generality of the foregoing, Owode shall not be liable for:
- the quality, safety, legality, authenticity, or suitability of products listed by independent sellers;
- acts or omissions of buyers, sellers, or other users;
- failed, delayed, cancelled, or disputed transactions;
- inaccurate product descriptions or misleading listings created by users;
- delivery delays, failed deliveries, or logistics issues managed by sellers or third parties;
- business interruption;
- loss of profits, revenue, sales, opportunities, goodwill, or reputation;
- loss or corruption of data;
- unauthorised access to user accounts resulting from a user’s failure to protect their credentials;
- interruptions, outages, or temporary unavailability of the Platform;
- failures of internet services, telecommunications networks, payment providers, logistics providers, cloud infrastructure, or other third-party services;
- decisions made by users based on information, recommendations, analytics, educational materials, or AI-assisted features provided through the Platform.
To the maximum extent permitted by law, Owode’s aggregate liability arising from or relating to these Terms or the Platform shall not exceed the greater of:
- the total amount of fees actually paid by you directly to Owode during the twelve (12) months immediately preceding the event giving rise to the claim; or
- the minimum amount required under applicable law where such limitation is not enforceable.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law, including liability for fraud or any other liability that applicable law prohibits from being limited.
33. Indemnity
You agree to defend, indemnify, and hold harmless Owode Commerce Ltd, its affiliates, directors, officers, employees, contractors, representatives, licensors, partners, and agents from and against any claims, demands, actions, proceedings, liabilities, losses, damages, judgments, penalties, fines, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- your use of the Platform;
- your breach of these Terms or any Platform policy;
- your violation of applicable laws or regulations;
- products or content you list, upload, publish, or make available through the Platform;
- infringement or alleged infringement of another person’s intellectual property or other legal rights;
- counterfeit, unlawful, unsafe, or prohibited products;
- false, misleading, or deceptive representations;
- negligence, misconduct, or fraudulent activities;
- disputes between you and another user;
- your misuse of personal information belonging to another user;
- any tax obligations arising from your activities on the Platform.
Where a claim relates primarily to your actions or omissions, you agree to cooperate fully with Owode in responding to or defending against that claim.
Nothing in this section limits any other legal rights or remedies available to Owode.
34. Governing Law
These Terms, together with all Platform policies incorporated by reference, shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.
Your use of the Platform must also comply with all applicable laws and regulations in the jurisdiction where you access or use the Platform.
35. Dispute Resolution
Owode encourages users to resolve disputes promptly, fairly, and in good faith.
If you have a complaint or dispute relating to the Platform, you should first contact Owode through our official support channels to allow us an opportunity to investigate and attempt to resolve the matter informally.
Where a dispute cannot be resolved through informal discussions, the parties may explore mediation or another mutually agreed alternative dispute resolution process before commencing legal proceedings.
Nothing in these Terms prevents either party from seeking urgent interim or injunctive relief where necessary to protect legal rights or prevent imminent harm.
Unless otherwise required by applicable law, any legal proceedings relating to these Terms or the Platform shall be brought before a court of competent jurisdiction in Nigeria.
Where applicable law requires a different dispute resolution process or grants users additional rights, those rights will continue to apply.
36. Severability
If any provision of these Terms is found by a court or other competent authority to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permitted by law.
The remaining provisions shall continue in full force and effect.
Where possible, any invalid or unenforceable provision shall be interpreted in a manner that most closely reflects its original commercial and legal intent.
37. Waiver
Failure by Owode to enforce any provision of these Terms or to exercise any right or remedy shall not constitute a waiver of that provision, right, or remedy.
Any waiver must be made expressly and in writing.
A waiver of one breach does not constitute a waiver of any subsequent or continuing breach.
38. Entire Agreement
These Terms, together with all Platform policies incorporated by reference, constitute the entire agreement between you and Owode concerning your use of the Platform.
They supersede all prior discussions, understandings, representations, or agreements relating to the same subject matter, except where expressly stated otherwise.
Nothing in this section limits obligations arising under applicable law.
39. Assignment
You may not assign, transfer, delegate, or otherwise dispose of your rights or obligations under these Terms without Owode’s prior written consent.
Owode may assign or transfer its rights and obligations under these Terms to:
- an affiliate;
- a successor entity;
- an acquirer;
- or another entity in connection with a merger, acquisition, corporate restructuring, financing, or transfer of business,
provided that such assignment does not materially reduce the protections available to users under applicable law.
40. Changes to These Terms
Owode may update these Terms from time to time to reflect:
- changes in applicable laws or regulations;
- new Platform features or services;
- security improvements;
- operational developments;
- technological changes;
- business restructuring;
- industry best practices;
- or other legitimate business needs.
Where changes are material, we will make reasonable efforts to notify users through appropriate communication channels, which may include:
- email;
- Platform notifications;
- account dashboard notices;
- or announcements published on the Platform.
The updated version will indicate a revised “Last Updated” date.
Your continued use of the Platform after the revised Terms become effective constitutes your acceptance of the updated Terms.
If you do not agree with the revised Terms, you should discontinue your use of the Platform.
41. Contact Us
